Meeting of the 9
thSession of the Board of Supervisors of ADAMA Ltd.(hereinafter referred to as the “Company”) was held via an on-site and video conferencemeeting on April 25, 2024 following notifications sent to all the supervisors by emailon April 19, 2024. Three supervisors were entitled to attend the meeting and threesupervisors attended.The meeting complies with all relevant laws and regulations as well as the Articles ofAssociation of the Company. The following resolutions were deliberated and adopted:
1. Proposal Confirming the Q1 2024 Report
After reviewing, the Board of Supervisors confirm that the preparing and reviewingprocedures of the Q1 2024 Report adopted by the Board of Directors are in line withthe requirements of the laws, the regulations, and the provisions of CSRC. The contentsof the Q1 2024 Report are true, accurate and complete with no false or misleadingstatement or material omission.This proposal was passed with 3 affirmative votes, 0 negative votes and 0 abstentions.
2. Proposal on the Nomination of Non-employee Supervisors to Compose the 10thSession of the BOS
Stock Code: 000553(200553) Stock Abbreviation: ADAMA A(B) Announcement No.2024-25The Company and all members of its board of supervisors hereby confirm that allinformation disclosed herein is true, accurate and complete with no false ormisleading statement or material omission.
The Board of Supervisors reviewed and approved the nomination of Mr. Liu Jianhuaand Ms. Yuan Yuan as candidates to serve as non-employee supervisors of the 10
th
Session of the Board of Supervisors.This proposal shall be submitted to the 1
stInterim Shareholders Meeting in 2024 fordeliberation and voted by means of cumulative voting system. After approval by theshareholders, the above two candidates will constitute the 10th Board of Supervisorstogether with the employee representative supervisor elected by the Employees’Representative Congress of the Company.The Company appreciates the contribution all members of the 9th session of the BOSmade to the Company during their tenure, and sincerely thanks them for their service.For the profiles of the above candidates, please refer to the appendix of thisannouncement.This proposal was passed with 3 affirmative votes, 0 negative votes and 0 abstentions.It is hereby announced.

Appendix - Profile of the Nominees of Non-employee Supervisor
1. Liu Jianhua
Mr. Liu Jianhua, Chinese, born in 1978, obtained a Ph.D degree in BiochemicalEngineering. He currently serves as the Non Ag Business Manager of ADAMA China.He previously served as the GM Assistant of Hubei Sanonda Co. Ltd., as the COO ofJiangsu Anpon Electrochemical Co., Ltd., and as the member of CPC Committee ofChina National Agrochemical Corporation.As of the date of this Announcement, Mr. Liu Jianhua does not directly or indirectlyhold any of the Company’s shares. Mr. Liu Jianhua has no relationship with anyshareholders holding more than 5% of the Company’s shares, the actual controllers, orother directors, supervisors and senior executives of the Company.Mr. Liu Jianhua has not been subject to any punishment imposed by the CSRC and theSZSE and does not fall under any of the circumstances stipulated in Article 3.2.2 of theGuidelines of Shenzhen Stock Exchange on Self-discipline Supervision of ListedCompanies No.1: Standardized Operation of Main Board Listed Companies. Mr. LiuJianhua is not a judgement debtor subject to enforcement and meets all the qualificationsset under the applicable laws and regulations.
2. Yuan Yuan
Ms. Yuan Yuan, Chinese, born in 1980, obtained a bachelor degree of international tradefrom Zhongnan University of Economics and Law and a master degree of businessadministration from University of International Business and Economics. She currentlyserves as Strategy & Business Manager of ADAMA China. Before joining ADAMA，she served as Deputy and Executing Director of Commerce Dept. in China NationalAgrochemical Corporation.As of the date of this Announcement, Ms. Yuan Yuan does not directly or indirectlyhold any of the Company’s shares. Ms. Yuan Yuan has no relationship with any
shareholders holding more than 5% of the Company’s shares, the actual controllers, orother directors, supervisors and senior executives of the Company.Ms. Yuan Yuan has not been subject to any punishment imposed by the CSRC and theSZSE and does not fall under any of the circumstances stipulated in Article 3.2.2 of theGuidelines of Shenzhen Stock Exchange on Self-discipline Supervision of ListedCompanies No.1: Standardized Operation of Main Board Listed Companies.
