The Board of Directors serves as Kewell’s decision-making body and isaccountable to the Shareholders’ Meeting. In accordance with theArticles of Association, the Company ensures the diversity of its Boardmembers by considering factors such as gender, age, educationalbackground, professional qualifications and work experience whenselecting Board candidates. The current Board members possessextensive expertise in areas such as power supply, accounting,investment, hydrogen energy and semiconductors, providing a strongfoundation for informed decision-making.The Board is supported by four specialized committees: the StrategyCommittee, Nomination Committee, Remuneration and EvaluationCommittee, and Audit Committee. These committees operate in linewith theWork Rules for the Board’s Specialized Committees. While theChairman of the Board leads the Strategy Committee, independentdirectors chair the other committees. The proportion of independentdirectors on the Nomination Committee, the Remuneration andEvaluation Committee and the Audit Committees is two-thirds. The Company hasestablished theCompensation and Performance Evaluation ManagementSystem for Directors, Supervisors and Senior Officers, which clearlydesignates the Remuneration and Evaluation Committee as responsiblefor formulating compensation plans and performance evaluationprocedures for the Company’s directors and senior officers. To enhance its climate-related risk management capabilities and support resilient, long-term growth, Kewell proactively identifies andassesses climate-related risks and opportunities. The Company has developed targeted strategies to mitigate and manage these risks,steadily building organizational climate resilience.
Kewell is actively exploring pathways for carbon reduction and effectively advancing theimplementation of energy-saving and emissions-reduction measures. To reduce carbonemissions, the Company continuously upgrades electric vehicle (EV) charginginfrastructure, purchases domestically produced EVs to replace traditional fuel-poweredvehicles, and prioritizes use of EVs for business travel. In addition, the Company hasincreased its reliance on renewable energy sources by installing distributed photovoltaic(PV) systems across its operational facilities.

TheCompany has established a standardized management processfor new construction, renovation and expansion projects,requiring environmental impact assessments to be conductedprior to project initiation and official approvals to be obtained.Upon project completion, the Company organizes environmentalcompliance inspections to verify adherence to regulatorystandards. During the reporting period, the Company’s SMT(Surface Mount Technology) manufacturing project was compl-eted and successfully passed its environmental complianceinspection.

Kewell has developed a comprehensive supplier onboarding process that includes qualification review, DUT validation and on-siteaudit, among others. This process ensures that suppliers can deliver high-quality products and maintain reliable supply capabilities,fostering long-term partnerships and mutual growth.
Sales orders or research projects involving new suppliers or new brands from existingsuppliers.Necessary qualification materials (e.g., quality management system certificates,ROHS reports, Integrity Agreements, etc.) are gathered to verify the completenessand authenticity of documentation and assess the supplier’s technical capabilities;Suppliers are required to maintain valid certifications. If certifications are foundduring audits to have expired, suppliers must update and submit valid certificateswithin two months, or they risk being disqualified from procurement;Suppliers are evaluated on six criteria: quality assurance, material pricing, deliveryschedule, service responsiveness, overall capabilities and commercial reputation. Kewell introduced an equity incentive program to align the interests of employees with those of the Company’s shareholders, and toattract and retain top management and key business talent. In 2018, the Company established two employee stock ownershipplatforms—Hefei Hetu Equity Investment Partnership (Limited Partnership) and Hefei Jingkun Equity Investment Partnership (LimitedPartnership)—to implement the first phase of the equity incentive initiative. By the end of the reporting period, 69 employees heldshares, amounting to a total of 4,023,200 shares (excluding shares held by the Company’s controlling shareholders and actualcontrollers). In 2021, the Company launched its first post-listing restricted stock incentive plan, with the initial and reserved grantscompleted in June and December of that year. During the reporting period, the Company completed the vesting of the third trancheof the initial grant and the second tranche of the reserved grant, totaling 288,600 shares distributed among 73 employees. Thesecond tranche of the initial grant was fully paid for and verified in December 2023, with shares becoming tradable in January 2024,totaling 315,100 shares, held by 57 employees.On August 23, 2024, the Company’s Board of Directors approved a redemption plan, with an allocation of between RMB 20 millionand RMB 30 million of the Company’s own funds for future equity incentives or employee stock ownership plans. By the end of thereporting period, the Company had repurchased 438,791 shares, accounting for 0.5222% of its total share capital. The highestrepurchase price was RMB 34.10 per share, and the lowest was RMB 24.75 per share, with a total expenditure of RMB 11,816,745.20(excluding transaction fees such as stamp duty and commissions).

In line with the principle of “Safety First, Prevention
Utmost and Holistic Control” in work safety, Kewell has
reinforced the management of contractors, leaseholders,
temporary workers and external construction teams.
The Company has developed theStakeholder Safety
Management Policyand theSubcontractor Safety
Management Policyto standardize the safety approval
process for external parties entering the premises.
These measures ensure enhanced oversight and help
mitigate potential safety risks.
To ensure effective safety education and training, reduce therisk of accident and minimize occupational hazards, Kewell hasimplemented theEHS Education and Training ManagementPolicy, under which an annual safety and health training plan isdeveloped. During the reporting period, the Company adheredto this training plan and conducted a wide range of sessions,including forklift safety training, basic safety knowledgeworkshops and specialized occupational health training,significantly strengthening employees’ safety awareness andprofessional competencies.
In May 2024, the Company launched its Work Safety Month activities with a kick-off meeting, marking the beginning of a seriesof initiatives themed “Workplace Risk: I See, I Know, I Control – Clearing Pathways to Life”. During this event, a variety of activitieswere implemented, including safety knowledge training, a WeChat quiz campaign, the distribution of safety-themed cartoons,and practical fire safety drills. These efforts significantly raised the staff’s fire safety awareness and emergency preparedness,fostering a workplace culture of “Workplace Risk: I See, I Know, I Control”.

By continuously optimizing occupational disease preventionmeasures, we ensure they remain aligned with the real needs of our workforce. This proactive approach minimizes occupational diseaserisks, enabling employees to thrive in a healthy and safe work environment. By doing so, we foster a mutually beneficial relationship whereboth personal well-being and company growth are prioritized.
For employees exposed topotential occupational hazar-ds, regular health check-upsare conducted to ensure earlyidentification and interventionfor any health concerns. Thisholistic approach ensures co-mprehensive protection ofour employees’ healthand well-being.
We actively monitor and assess risksassociated with occupational diseases,such as dust and noise exposure. Ourprocess includes the systematic prep-aration of occupational hazard reports,which are continuously updated andimproved to enhance our preventionand control measures.
In alignment with ourPer-sonal Protective Equip-ment Management Policy,we provide all employeeswith PPE, including gloves,masks, and protective eye-wear. A detailed registry ismaintained for the distri-bution of these items, en-suring the full protection ofour employees’ health andsafety.
