Given the three-year term of the Tenth Supervisory Board of Jiangling MotorsCorporation, Ltd. (hereinafter referred to as “JMC” or the “Company”) will soon expire,pursuant to the provision of the Articles of Association of JMC, the Employee Congressof the Company elected Mr. Ma Jian and Ms. Li Yanling as employee-representativesupervisors of the Eleventh Supervisory Board of the Company in June 2023.
Mr. Ma Jian’s resume is as follows:
Mr. Ma Jian, born in 1975, holds a College Degree in Mechanical & ElectricalEngineering from Nanchang University of Aeronautical Technology, a Master Degreein Mechanical Engineering from Huazhong University of Science and Technology, andis a Supervisor and Chief of Manufacturing Department for JMC. Mr. Ma Jian heldvarious positions including Lead Engineer, Assistant to the Chief, Deputy Chief ofManufacturing Department for JMC, Director of Nanchang factory for GetragPowertrain (Jiangxi) Co. Ltd., and Director of Nanchang Factory and Director of DCTFactory for Magna Powertrain (Jiangxi) Co. Ltd.
As of the disclosure date of this announcement, Mr. Ma Jian did not hold any share ofthe Company. Mr. Ma Jian has no relationship with the shareholders holding more than5% of the shares of the Company and actual controllers of the Company, as well asother Directors, Supervisors and senior executives of the Company. Mr. Ma Jian hasnot been punished by China Securities Regulatory Commission or other relevantDepartments or taken disciplinary action by the Stock Exchanges, and has not beeninvestigated by judicial organs for suspected crimes or by China Securities RegulatoryCommission on suspicion of violations of laws and regulations. There is no the situationon which he is prohibited to serve as a Company Supervisor as stipulated in theCompany Law and the Articles of Association of the Company. Mr. Ma Jian meets thequalifications required in the laws, administrative regulations, departmental rules,normative documents, Rules Governing Listing of Stock on Shenzhen Stock Exchangeand the Articles of Association of the Company. After the inquiry of "National CourtInformation Disclosure and Inquiry Platform of Persons Subject to Enforcement forTrust-breaking", Mr. Ma Jian does not belong to the person subject to enforcement fortrust-breaking.
Ms. Li Yanling’s resume:
Ms. Li Yanling, born in 1977, holds a College Degree in Industrial and Trade Englishfrom Nanchang University of Aeronautical Technology, a Bachelor Degree in Englishfrom Jiangxi Normal University, and is a Supervisor and Deputy Chief of PublicRelationship Department for JMC. Ms. Li Yanling held various positions includingAssistant to Ford Quality Expert of Quality Control Department, Assistant to FordExpert of Public Relationship and Legal Affairs Department, Executive Assistant toPresident, Chief of Translation Office, and Deputy Chief of Public Relationship andLegal Affairs Department for JMC.
As of the disclosure date of this announcement, Ms. Li Yanling did not hold any shareof the Company. Ms. Li Yanling has no relationship with the shareholders holding morethan 5% of the shares of the Company and actual controllers of the Company, as wellas other Directors, Supervisors and senior executives of the Company. Ms. Li Yanlinghas not been punished by China Securities Regulatory Commission or other relevantDepartments or taken disciplinary action by the Stock Exchanges, and has not beeninvestigated by judicial organs for suspected crimes or by China Securities RegulatoryCommission on suspicion of violations of laws and regulations.
