关于与AREI IDU签署非洲可再生能源倡议架构文件和行动计划的谅解备忘录的公告
本公司及董事会全体成员保证信息披露内容的真实、准确和完整，没有虚假记载、误导性陈述或重大遗漏。
一、备忘录签署概况
1、北京首航艾启威节能技术股份有限公司（以下简称“公司”或“首航节
能”）与非洲可再生能源倡议的独立执行单位（以下简称“AREI IDU”）于 2017年 9月 1日签订《非洲可再生能源倡议架构文件和行动计划的谅解备忘录》（以下简称“谅解备忘录”）。
2、该《谅解备忘录》不构成关联交易，也不构成《上市公司重大资产重组
管理办法》规定的重大资产重组。
3、该《谅解备忘录》为双方合作的战略性文件，目前尚未涉及具体项目投
资详细程序，因此本协议目前无需提交董事会和股东大会审议。
4、该《谅解备忘录》所述投资项目需根据公司审批程序按照证监会和交易
所相关规定予以披露。
二、谅解备忘录的主要内容
WHEREAS, the Parties are convinced of the great potential and broad
prospects for cooperation between African countries and China in the field
of renewable energy.
缔约方看好非洲及中国在新能源领域巨大的市场潜力和广阔的合作前景。
WHEREAS, the Parties agree to build on the Forum on China-Africa
Cooperation Johannesburg Action Plan (2016-2018) provision to encourage
and support the participation of Chinese businesses in investment,
construction and operation of power projects in Africa through expanded

cooperation on solar energy, wind power, bioenergy, power transmission
and transformation, and grid construction and maintenance.
缔约方同意以中非约翰内斯堡合作计划（2016-2018）的条款和愿景为基础建立论坛，通过扩大在太阳能光热发电的建设和维护方面的合作，以鼓励并支持非洲能源项目投资、建设及运营。
（一）目的
The purpose of this MoU is to establish and facilitate a long-term
strategic partnership between the Parties to cooperate on the accelerated
deployment of CSP technologies, especially Concentrated Solar Power (CSP).
The cooperation will be guided by the AREI Framework Document, the AREI
Action Plan 2016-2030 and climate national determined contributions of
African countries.
此谅解备忘录旨在建立并促进缔约方之间在 AREI 合作和执行方面的长期战略伙伴关系，合作将以 AREI 框架、2016-2030 行动计划以及非洲国家的国家自主贡献为导向。
（二）合作领域
1、Strengthening cooperation and collaboration between China and
African countries(AREI Action Plan, work area 2)；
加强非洲国家政策、法规、支撑及激励结构建设（AREI 行动计划，工作领域 2）；
2、Building capacity in African countries (AREI Action Plan, work area
3)；
非洲国家的太阳能光热电站建设（AREI行动计划，工作领域 3）；
3、Facilitating project development and implementation support, in
particular regarding the preparation and implementation of demonstration
projects in AREI pioneering countries towards achieving AREI’s goal of
10 GW of new and additional renewable energy generation capacity by 2020
and 300 GW by 2030(AREI Action Plan, work area 5).
提供项目发展和实施支持，尤其涉及 AREI先驱国家示范项目的准备和执行，

依据 AREI 2020年 10GW及 2030年 300GW的目标（AREI行动计划，工作领域 5）。
（三）首航节能的义务
1、Facilitate the participation of Chinese policy-makers, financial
institutions, utility managers and companies in the exchange of good
practices on policy, regulatory, support and incentive frameworks with
African counterparts;
将与非洲交流好的政策与法规支持、激励框架，促进中国政府、金融机构、专家、企业的参与；
2、Support the assessment of existing power infrastructure in African
countries, identify Chinese providers of CSP technologies and share
experiences of China’s domestic development of CSP;
支持非洲国家现有电力建设，并就非洲国家光热发电项目的可行性进行调研，并与 AREI一同规划非洲各国光热发电项目；
3、Support the establishment of the Africa Renewable Energy Institute
and academic exchanges with the Chinese research community, including
through the AREI Delivery Unit’s Fellowship Programme;
支持非洲可再生能源机构的建立，并通过 AREI 执行机构的奖学金项目，支持非洲与中国研究机构的学术交流；
4、Provide renewable energy project development and implementation
support services in African countries;
提供可再生能源项目发展和实施支持服务；
5、 Facilitate partnerships with AREI IDU for renewable energy
technologies manufacturing, assembly, deployment and operations in
African countries.
在可再生能源技术制造、装配、部署、运营方面促成非洲国家与首航节能合作关系。
（四）AREI IDU的义务
1、Invite SHOUHANG to participate in the exchange of good practices
on policy, regulatory, support and incentive frameworks;

邀请首航节能参与政策与法规支持、激励架构搭建的交流工作中；
2、Facilitate SHOUHANG access to relevant institutions in African
countries to support the assessment of existing power infrastructure and
the development of CSP;
促成首航节能与非洲国家相关机构的接入，以支持其在现存电网基础设施评估及智能电网发展中的参与工作；
3、Seek inputs from SHOUHANG on the establishment of the Africa
Renewable Energy Institute and the AREI Delivery Unit’s Fellowship
Programme;
在非洲可再生能源机构和 AREI 执行单位奖学金项目上，寻求首航节能的意见；
4、Collaborate with SHOUHANG on the preparation and implementation
of renewable energy programs and projects;
在 AREI 资助或联合资助的可再生能源项目的准备和执行中，尤其是 AREI先驱国家的示范项目中，使用首航节能的参与 CSP项目和服务；
5、Provide feedback on the suitability and level of acceptance of
Chinese technologies and project management approaches to support Chinese
companies to further build their capacity as technology providers for
African markets.
为中国技术和项目管理的接受程度及适应性提供反馈，以支持中国公司根据非洲市场建设自己的技术能力。
三、对上市公司的影响
非洲拥有丰富的太阳能资源，非常适合太阳能光热发电电站的建设，潜在的太阳能光热发电可开发市场巨大，公司非常看好非洲在新能源领域巨大的市场潜力和广阔的合作前景。首航节能是中非可再生能源合作创新联盟（CARECIA）副理事长单位，借 AREI IDU 在厦门参加金砖国家峰会的契机与其达成上述合作，双方共同合作推动非洲可再生能源市场的开发。 AREI IDU是由非洲主导，对非洲可再生能源潜力极大利用的组织，在非盟的授权下，经过非洲国家元首气候变化大会的批准，计划在 2020年前新增至少 10GW的新的可再生能源，到 2030年

前使非洲可再生能源发电达到 300GW。
首航节能依托于从 2010 年开始储备的光热发电的技术、团队和工程建设经验，积极推进海外光热发电市场的开发。在中国大力推进“一带一路”战略的情况下，首航节能将积极推进“一带一路”沿线国家的业务布局，积极利用中国支持非洲开发的政策和资金，推进相关业务的落地。
四、风险提示
1、该谅解备忘录为战略性框架协议，公司将按照有关规定，将及时披露该
项目的进展情况，敬请广大投资者注意投资风险。
2、如遇中非有关政策调整变化，存在一定的不可控风险，敬请广大投资者
注意投资风险。
3、该谅解备忘录的履行对公司本年度经营业绩无重大影响。

1、公司与非洲可再生能源倡议的独立执行单位签署的《非洲可再生能源倡
议架构文件和行动计划的谅解备忘录》。
