Chairman's MessageIn 2023, amidst a year of uncertainty and change, GoodWe continued to thrive as we navigated through an intricate and challenging landscape, both domestically and internationally. Collaborating closelywith our valued customers, partners, employees, and communities, we remained steadfast in our commitment to strengthening our position in the new energy sector. Together, we have played our part indriving green transition forward in the economy and society.Adhere to Compliant Governance,Jointly Ensure Steady OperationOne of our key focuses in 2023 was on enhancing our corporate gov-ernance practices to ensure stability and reliability in our operations.This involved re?ning our corporate governance framework, strength-ening compliance systems, optimizing internal policies, and providingextensive training sessions on business ethics. To reinforce these ef-forts, we established the Sustainable Development Research Institute,dedicated to devising and implementing strategies focused on Envi-ronmental, Social, and Governance (ESG) principles. We conducted221 online and o?ine stakeholder engagement events, through whichwe gained valuable insights that contributed to the enhancement ofour ESG governance system.

Focus on Innovative Research,Empower Smart EnergyOur commitment to innovation and research and development (R&D)remained unchanged. We revamped our R&D incentive mechanism,deepened collaborations with universities and research institutes,and fortified our intellectual property protection measures. With aninvestment exceeding RMB 400 million in 2023, we directed our e?ortstowards developing technologies in areas such as power electronics,photovoltaic (PV) building materials, energy storage, and smart energymanagement. This investment enabled us to expand and refine ourproduct portfolio, introducing premium and competitive new productssuch as the ET series three-phase HV hybrid inverters and the new XSseries residential inverters. Additionally, we have steadily promotedthe integration of "I-I Integration System (industrialization and informa-tization)", leveraging information technology to strengthen our controlover quality.

Aligning with the national "dual carbon" goals, we remain steadfastin driving global energy transition. This commitment is demonstrat-ed through our actions across management systems, productionprocesses, and resource utilization practices. In 2023, our goals wereachieved pertaining to hazardous waste management, environmen-tal compliance, and occupational health management. We under-went rigorous annual audits conducted by certi?cation organizationsfor ISO 14001 Environmental Management System, ISO 50001 EnergyManagement System, and ISO 45001 Occupational Health and SafetyManagement System. Furthermore, we prioritized energy conserva-tion and emission reduction throughout our production processeswhile actively exploring the potential of clean energy sources. As aresult of these e?orts, we were honored with distinctions such as the"Green Supply Chain Management Enterprise" and the "Green Factory".

Embrace Human-Centered Spirit,Share Green GrowthAs a responsible enterprise, we are deeply committedto fostering the professional growth and well-beingof our employees, while also contributing to theenhancement of livelihoods and economic prosper-ity within our surrounding communities. In 2023,guided by the principle of "hard-worker-oriented",we safeguarded the rights and well-being of our em-ployees. The initiatives included the establishmentof comprehensive employee training programs andthe introduction of internal regulations such as the

Management Regulations on Safety Risks, and theManagement Regulations on Identi?cation and Elimi-nation of Hidden Safety Hazards. Driven by our visionto expand access to PV power for residential and pub-lic facilities, we collaborated with local partners toinitiate the construction of PV plants for households,villages, and schools, with a total investment of mil-lions in this ?eld.Through thirteen years of sustained e?orts, GoodWehas evolved into a dynamic and socially responsibleleader in the PV inverter industry. Looking ahead,GoodWe remains steadfast in fulfilling our environ-mental and social responsibilities, joining hands withglobal partners to advance smart energy initiativesand pave the way for a zero-carbon future.

The Board of Directors consists of the Audit Committee, the Nomination Committee, the Remuneration and Appraisal Committee, andthe Strategy Committee. The four special committees execute their functions according to applicable in-house regulations to supportscienti?c decision-making vigorously. The Company sets up the Board of Directors as per laws and regulations, with a time limit of nomore than 3 years per term and the option for re-election upon term expiration.During the reporting period, the proportion of independent directors was 42.86%, and that of female directors 28.57%. The Companyconvened 10 meetings of the Board of Directors, and adopted 44 resolutions.

Corporate GovernanceFrameworkBoard of DirectorsGoodWe has diligently developed and re?ned its corporategovernance framework, meticulously outlining the dutiesand powers of governing bodies such as the ShareholdersMeeting, the Board of Directors, and the Board of Supervi-sors to meet the expectations of investors. We uphold strictadherence to theCompany Law of the People's Republicof China, theLaw of the People's Republic of China on Se-curities, and theCode of Corporate Governance for ListedCompanies. In line with these legal documents, we haveformulated a series of in-house management regulationsincluding theRules of Procedure for the Shareholders Meet-ing, theManagement Regulations on Related Transactions,theManagement Regulations on External Guarantees, andtheManagement Regulations on Outward Investment.In accordance with theMeasures for the Administration ofIndependent Directors of Listed Companiesissued by theChina Securities Regulatory Commission, we also have in-troduced theWorking Rules of Independent Directors. Thisdocument delineates the qualifications, duties, powers,obligations, nomination, election, and changes pertainingto independent directors. A corporate governance frame-work with clearly defined duties and powers will facilitatescienti?c decision-making regarding development planningand investment and enhance the effectiveness of decisionimplementation.

Our Shareholders Meeting is subject to theRules Governing the Listing of Stocks on the STAR Market of the Shanghai Stock Exchange,and theArticles of Association. And we ensure the procedures for convening, holding, deliberating, voting, and decision-making meetstatutory requirements.During the reporting period, the Company convened 6 shareholders meetings, and adopted 20 resolutions.

The Company sets up the Board of Supervisors in accordance with applicable laws and regulations such as theRules of Procedure for

the Board of Supervisors, and theArticles of Association. The Board of Supervisors is responsible for overseeing the ?nancial positionof the Company, and the legality and compliance of the directors and the senior management in performing their duties.During the reporting period, the Company convened 8 meetings of the Board of Supervisors, and adopted 26 resolutions.

ESG ManagementIn pursuit of strategic development and sustainable competitiveness, we revised theImplementation Rules of the Strategy Committeein 2023. This updated document provides further clarity onthe sustainability planning and ESG oversight responsibilities of the committee. It empowers the committee to propose suggestions on the Company's sustainable development and ESG policies,evaluate major ESG issues, and report ?ndings to the Board of Directors.In 2023, we established the Sustainable Development Research Institute and appointed the institute director to oversee strategic planning, as well as ESG management and implementation. The Smart Energy Building was designed and constructed by leverag-ing our new smart energy, PV curtain wall and energy storage prod-ucts and technologies in accordance with the green building three-star rating, LEED gold rating and ultra-low energy building standards.It was completed in August 2023.

GoodWe Guangde Park actively promotes the application of PV generation systems. As of the end of reporting period, the Phase I of the Parkconstructed 2.8 MW PV roofs for workshops, 25 kW PV corridors, 319.1 kW PV sheds, and 50 kW PV roofs for the power distribution facility, with 3.2MW PV panels paved in total, all of which could generate 2.569 million kWh annually. These PV roofs increased the proportion of green power useto 10.1% in the Park. Green Supply ChainWe continually enhance our supplier assessment mechanism toevaluate supplier performance in a more reasonable and scienti?cmanner. In 2023, we introduced theManagement Regulations onSupplier Performance,which expanded assessment dimensionsand re?ned assessment indicators.Our supplier assessment focuses on ?ve dimensions: ?nancialrisks, QSA (quality system audit) documents, QPA (QualityProcess Audit), price/order and contract/response/capacity, aswell as technology and equipment. Based on annual assessmentresults, we categorize suppliers into four levels (A, B, C, and D).Suppliers in Levels A and B receive priority for more purchaseorders, while those in Levels C and D are required to analyzeidentified problems, implement corrective measures with ourguidance, and report on their progress. Suppliers failing to meetour requirements even after recti?cation will be excluded fromour qualified supplier list. In 2023, 86% of suppliers receiveda Level A or B rating in the annual supplier assessment. Itconstantly enhances the supplier assessment reasonable andscienti?c.

Suppliers, being key stakeholders, hold signi?cant importance inour long-term development. To e?ectively address their needsand enhance their performance, we have implemented a robustcommunication mechanism and organized both online ando?ine training programs, including teleconferencing sessions.During the reporting period, we conducted a total of 497exchange and training activities focused on addressing supplierneeds, discussing issues, improving capabilities, and promotingstandardized management practices. These activities engaged atotal of 3,141 trainees, facilitating the enhancement of deliveryperformance and fostering deeper cooperation in technologyand business between GoodWe and its suppliers.

Goodwell pays close attention to the carbon emissions and env-

ironmental impact generated by all links of the value chain, and

actively communicates the concept of sustainable development to

suppliers. We impose more stringent environmental requirements

on suppliers to uphold our commitment to fostering a sustainable

and green supply chain, thereby reducing environmental impacts

Our occupational health and safety practices are subject to applica-ble laws and regulations including theLaw of the People's Republicof China on Prevention and Control of Occupational Diseases, andtheLaw of the People's Republic of China on Work Safety. In line withthese laws, we have formulated internal regulations such as theMan-agement Regulations on Prevention and Treatment of OccupationalDiseases, and theManagement Regulations on Prioritizing Safety inProduction, outlining work safety measures. Our vision of rural revitalization focuses on expanding accessto PV power for residential and public facilities. In 2023, GoodWe constructed a PV plant with the installedcapacity of 30.7 kW for Ping'an Primary School in XiaotuoluoMiao Village, Guanzhai Township, Zhijin County, Bijie City,Guizhou Province, which was a public welfare project. Thisplant is able to generate 32,000 kWh annually in the future25 years or longer. In its service life, this plant is estimatedto reduce emissions of 262.4 t standard coal, and 797.6 tcarbon dioxide. The facility will put an end to outage andtight power budget, and improve the learning and lifequality of students e?ectively.
